These terms and conditions outline the rules and regulations for using the services of Go Earners Pvt. Ltd., ensuring clarity and mutual understanding between the company and its clients.

1. Acceptance of Terms
By using our services, you confirm that you understand and accept these terms and conditions. If you do not agree, please refrain from using our services.

2. Scope of Services
Go Earners Pvt. Ltd. provides website development, digital marketing, graphic designing, content writing, and software development services. All services are tailored to meet specific client requirements.
The scope of services, including website designing, development, or any other service, will be strictly based on the agreement or as mentioned in the proposal.

3. Payment Policy
– A minimum of 50% of the total project cost is required as an advance to initiate work.
– The remaining balance must be paid before five days of project completion or at the fourth stage as per the project tracking sheet.
– Payments are non-refundable once a project has commenced.
– Late payments will incur a fee of 2% of the outstanding balance per week, up to 10% of the total invoice amount.
– Payments overdue for more than 15 days will result in service suspension until all dues, including late fees, are cleared.
– Web hosting, and SSL costs (if provided by Go Earners Pvt. Ltd.) are INR 3500 + GST.

4. Revisions and Alterations
– Revisions are limited to the number outlined in the project agreement.
– Additional services or changes beyond the agreed scope will be quoted separately at a base rate of INR 500 per day.
– New requirements submitted after signing the scope document will be treated as change requests and charged accordingly.

5. Project Timelines
– The estimated turnaround time is 4-5 weeks, assuming timely client approvals and inputs.
– Delays caused by client-side approvals or inputs will not be attributed to Go Earners Pvt. Ltd.

6. Project Delivery Delays
– Company Responsibility:
If Go Earners Pvt. Ltd. is unable to deliver the project within the agreed timeline due to internal constraints, the client will be notified immediately. A revised timeline will be provided, and efforts will be made to minimize delays.
In cases of significant delays caused by Go Earners Pvt. Ltd., clients may request a discount or other compensation, which will be reviewed on a case-by-case basis.

– Client Responsibility:
Delays caused by untimely approvals, incomplete inputs, or lack of communication from the client will result in an adjusted delivery timeline. Go Earners Pvt. Ltd. will not be held responsible for such delays.

– Force Majeure Exceptions:
Delivery timelines are subject to exceptions under Force Majeure events, such as natural disasters, governmental actions, or technical failures beyond the control of Go Earners Pvt. Ltd.

– Dispute Resolution:
Any disputes related to delivery delays must be raised in writing within 10 days of the revised timeline. Both parties will work collaboratively to resolve the issue.

7. Client Responsibilities
 Clients must:
– Provide timely approvals, inputs, and feedback.
– Clearly define all requirements in the initial quote/proposal.

8. Intellectual Property
– Deliverables remain the property of Go Earners Pvt. Ltd. until full payment is received.
– Ownership of the deliverables will be transferred to the client upon receipt of full payment, as per the terms agreed between both parties.
– Completed projects may be showcased in the company portfolio unless otherwise agreed.

9. Maintenance Policy
– A free maintenance period is included, starting from the date the website goes live or is handed over. The duration of the maintenance period may vary based on the selected plan.
– Covers only existing functionality and pages, additional requirements will be chargeable.

10. Confidentiality
– We respect the confidentiality of your information and will not disclose it to third parties without prior consent, except as required by law.

11. Limitation of Liability
– Go Earners Pvt. Ltd. will not be liable for indirect, incidental, or consequential damages arising from the use of our services.

12. Third-Party Tools and Services
– Projects may require third-party tools. Go Earners Pvt. Ltd. is not responsible for changes or downtimes caused by third-party services.
– Clients are responsible for licensing or subscription costs unless explicitly included in the agreement.
– Hosting and domain services provided by Go Earners Pvt. Ltd. are subject to a default subscription duration of 12 months, even if not explicitly mentioned in the agreement.
Renewal of these services after the initial period will be the client’s responsibility.

13. Force Majeure
– We are not liable for delays or failure to perform due to events beyond our control, such as natural disasters, governmental acts, cyberattacks, or technical failures.

14. Client Data Backup
– Clients are encouraged to maintain backups of their data for added security. Go Earners Pvt. Ltd. will only be responsible for data control if we are managing the entire data infrastructure as part of the project. In such cases, we will take reasonable precautions to safeguard the data. However, we shall not be liable for data loss occurring during or after project delivery unless explicitly caused by our negligence in scenarios where we have full control over the data.

15. Defect Handling
– High-priority defects will be addressed within 12-24 hours. Resolution timelines may vary based on the issue.

16. Non-Compete Clause
– Clients agree not to hire or solicit Go Earners Pvt. Ltd.’s employees or contractors for related services during the project and for six months thereafter.

17. Governing Law
– These terms are governed by Indian law. Disputes shall be subject to the jurisdiction of Delhi courts.

18. Late Payment Policies
– Payments are late if not received by the due date as specified in the invoice or agreement.
– A seven-day grace period applies, after which a late fee of 2% per week will be charged, up to 10% of the invoice.
– Interest of 1.5% per month (18% annually) will be applied after the grace period.

19. Payment reminders will be sent at regular intervals if payments are overdue, as follows:
– First Reminder: One day after the due date.
– Second Reminder: At the end of the grace period.
– Final Reminder: One week after the grace period ends.
– If no payment is received after the final reminder, additional actions, including late fees or service suspension, may apply.

20. Service Suspension
– Services will be suspended if payments are overdue for more than 15 days.
– Services resume only after full payment, including late fees and interest.

21. Project Termination
– Projects are terminated if payments remain overdue for more than 30 days after the grace period.
– Clients will be liable for outstanding amounts, including late fees and interest.

22. Payment Disputes
– Disputes must be raised in writing within 10 days of the invoice date.
– Disputed amounts do not incur late fees or interest until resolved, undisputed amounts must be paid on time.
– Both parties are required to make reasonable efforts to resolve disputes promptly.
– Go Earners Pvt. Ltd. reserves the right to pause or suspend ongoing work until disputes are resolved.

23. Exceptions and Extensions
– Extensions of up to 15 days may be requested in writing before the due date and are subject to approval.
– No late fees or interest apply during the extension, but all dues must be settled by the end of the extension period.
– Go Earners Pvt. Ltd. reserves the right to pause or suspend ongoing work until disputes are resolved.
– If no resolution is reached within 30 days, the matter may be referred to arbitration or legal recourse as per the governing laws outlined in these terms.

24. Return and Refund Policy
– Non-Refundable Payments: Payments made towards project initiation, ongoing services, or completed deliverables are non-refundable.
– Cancellation Policy: Clients may cancel their project before it begins by providing written notice.
Cancellation after project commencement will result in a charge for the work completed up to the cancellation date.
– Refund Exceptions: Refunds are only applicable in cases of non-delivery of agreed services or if Go Earners Pvt. Ltd. is unable to fulfill the project due to internal constraints.
– Approved refunds will be processed within 15 business days.
– Third-Party Costs: Refunds do not include costs incurred for third-party tools, licenses, or subscriptions purchased on behalf of the client.
– Dispute Resolution: Refund-related disputes must be raised in writing and will be reviewed on a case-by-case basis.

25. GST and Tax Compliance
– All prices and charges mentioned are exclusive of GST unless explicitly stated otherwise.
– GST, as per applicable rates, will be added to the total invoice amount.
– Clients are responsible for providing their GST registration details, if applicable, to ensure proper invoicing.
– Go Earners Pvt. Ltd. complies with all tax regulations and will issue GST-compliant invoices for all payments.
– Any penalties or additional costs incurred due to incorrect or incomplete GST details provided by the client will be the client’s responsibility.
